The terms that govern this website, the live chat and any demonstration environment we make available to you.
Plain terms for a business website. They cover this site and any evaluation access. The platform itself is governed by your signed agreement with us.
Acceptance of these terms
These Terms of Use govern your access to and use of this website, the live chat, downloadable material and any demonstration or evaluation environment we make available (together, the "Site"). By using the Site you agree to these terms. If you do not agree, please do not use the Site.
If you access the Site on behalf of an organisation, you confirm that you are authorised to accept these terms for that organisation.
Relationship to a licence agreement
These terms cover the website only. Use of the DEALWISE platform by a client is governed by the signed master subscription or licence agreement between DEALWISE and that client. Where those terms conflict with these, the signed agreement prevails in respect of the platform.
Permitted use
You may browse the Site, use the live chat, and download or print material for your own internal evaluation, provided you keep all proprietary notices intact. You agree not to:
- use the Site for any unlawful purpose, or in breach of any applicable export control or sanctions regime;
- attempt to gain unauthorised access to any part of the Site, another user's data, or the systems behind it;
- probe, scan, load-test or otherwise interfere with the Site's availability or security without our prior written consent;
- scrape, harvest or systematically extract content, or use automated agents in a way that degrades service for others;
- reverse engineer, decompile or attempt to derive the source code of any DEALWISE software;
- reproduce, republish or commercially exploit our content without written permission;
- misrepresent your identity or affiliation, or introduce malicious code.
Security researchers acting in good faith are welcome; please follow the disclosure process on our Security page rather than testing production systems.
Intellectual property
The Site, the DEALWISE platform, and all associated text, graphics, interface designs, screen layouts, documentation, logos and the DEALWISE name are owned by DEALWISE or its licensors and are protected by copyright, trade mark and other intellectual property laws. No right or licence is granted to you except the limited right of use described above.
Third-party names, standards and frameworks referred to on this Site, including ILPA, PMI, COSO and ISO standards, are the property of their respective owners. Reference to them describes the frameworks our product design aligns to; it does not imply endorsement, certification, affiliation or sponsorship unless we state so expressly.
Demonstration and evaluation environments
Where we provide access to a demonstration or evaluation environment:
- access is granted to named individuals only, is non-transferable and may be withdrawn at any time;
- the environment contains illustrative sample data and must not be used to process real personal data, confidential deal information or production records;
- data entered may be reset or deleted without notice, and no service levels, availability commitments or backups apply;
- credentials must be kept confidential and any suspected compromise reported to us immediately.
Live chat and automated responses
The assistant on this Site provides general information about DEALWISE and is automated. Its answers are indicative, may be incomplete or out of date, and do not constitute a quotation, a representation, a contractual commitment or professional advice. Nothing said in the chat varies these terms or any signed agreement. For anything you intend to rely on, please obtain written confirmation from us at [email protected].
You must not submit confidential information, personal data about third parties, credentials or unlawful content through the chat.
Accuracy of content
We take care to keep the Site accurate and current. Even so, product descriptions, screenshots, statistics, implementation timelines, indicative packaging and forward-looking statements are provided for general information and may change without notice. Illustrative figures shown in screenshots and examples are sample data, not the results of any client.
Nothing on this Site constitutes investment, legal, tax, accounting or regulatory advice, or a recommendation to enter into any transaction. You remain responsible for your own investment decisions and for satisfying your own regulatory obligations.
Your submissions and feedback
You are responsible for the accuracy and lawfulness of information you submit through the Site. If you send us feedback, suggestions or ideas about our products, you grant DEALWISE a perpetual, worldwide, royalty-free right to use them without obligation or attribution. We will not, however, treat any confidential information you clearly mark as such in that way.
Third-party links
The Site may link to third-party websites. Those sites are outside our control; we do not endorse them and are not responsible for their content, availability or privacy practices. Following an external link is at your own discretion.
Disclaimer of warranties
To the fullest extent permitted by applicable law, the Site is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
Limitation of liability
Subject to the paragraph above, DEALWISE and its officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profit, revenue, business, goodwill, anticipated savings or data, arising out of or in connection with your use of the Site, however caused and on any theory of liability.
Our total aggregate liability arising out of or relating to your use of the Site will not exceed one hundred United States dollars (USD 100). Liability in relation to the DEALWISE platform is governed exclusively by the applicable signed agreement.
Indemnity
You agree to indemnify and hold DEALWISE harmless from any claim, loss, liability or expense (including reasonable legal fees) arising from your breach of these terms, your misuse of the Site, or your violation of any law or third-party right.
Suspension and changes
We may modify, suspend or discontinue any part of the Site at any time, and may restrict or terminate your access if we reasonably believe you have breached these terms or created a risk to the Site or its users. We may also update these terms; the effective date above shows the current version, and material changes will be flagged on this page. Continued use after a change constitutes acceptance.
Governing law and disputes
These terms and any non-contractual obligations arising from them are governed by the laws of the jurisdiction in which DEALWISE is established, without regard to conflict of law rules. The competent courts of that jurisdiction have exclusive jurisdiction, save that we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property or confidential information.
Before commencing formal proceedings, both parties agree to attempt in good faith to resolve any dispute by discussion, beginning with written notice to [email protected].
General
These terms, together with the Privacy Notice, are the entire agreement between you and DEALWISE concerning the Site. If any provision is held unenforceable, the remainder continues in force. Our failure to enforce a provision is not a waiver of it. You may not assign your rights under these terms; we may assign ours to an affiliate or successor.
